Terms & Conditions

A. Fees

You agree to pay the applicable fees for the services in accordance with the payment terms specified at the time of purchase. Auragrid AI reserves the right to change fees at any time, provided that such changes will be communicated to you prior to taking effect. All payments are due in the applicable currency at the time of purchase.

B. Timing of Payment

Fees are due as specified in your service agreement, on a recurring basis commencing on the effective date of service, unless stated otherwise. Auragrid AI shall have the right to charge the payment method provided by you in accordance with this Agreement. If payment cannot be processed, services may be suspended or terminated.

C. No Refunds

You understand and agree that amounts already paid to Auragrid AI under this Agreement are non-refundable and shall be deemed earned by Auragrid AI for services rendered. Refund exceptions will be specified in writing at the time of service agreement.

A. Term

This Agreement commences upon your acceptance of the terms and continues for the period set forth in your service agreement. Following the initial term, services will continue on a month-to-month basis unless otherwise agreed.

B. Cancellation

You may cancel any service at any time by providing 30 days' written notice to Auragrid AI.

C. Termination for Cause

Auragrid AI may terminate this Agreement with 30 days' prior written notice if you are in material breach of your obligations and such breach has not been cured within the notice period.

D. Suspension of Services

Auragrid AI may suspend services at any time for operational reasons, including without limitation: significant security breaches, propagation of malware, or other improper, unlawful, or fraudulent use.

E. Effect of Termination

Upon termination, you shall remain liable for any amounts due to Auragrid AI as of the effective date of termination. All provisions of this Agreement that by their nature should survive termination (including limitations of liability, indemnity obligations, and confidentiality obligations) shall survive.

A. Your Content

You retain all ownership of content you provide to Auragrid AI. You grant Auragrid AI a non-exclusive, royalty-free license to use your content solely to the extent necessary to provide the services under this Agreement.

B. Our Content

Auragrid AI retains ownership of all intellectual property relating to the services, platform, and any content created by Auragrid AI, excluding any of your trade names, trademarks, or logos included within such content.

A. Your Obligations

Except as required by applicable law, you shall not disclose the contents of this Agreement or any confidential information regarding Auragrid AI to any third party without prior written consent.

B. Our Obligations

Auragrid AI will not share or disclose to any third party, without your express consent, any sensitive information exchanged during or after the course of your engagement with us, including your business strategy, company policies, or other confidential information.

A. Liability

You expressly understand and agree that Auragrid AI will not be liable for any direct, indirect, incidental, special, punitive, compensatory, or consequential damages arising out of or in connection with this Agreement or the services. These limitations shall apply to the fullest extent permitted by law.

B. Maximum Liability

To the maximum extent permitted by applicable law, under no circumstances shall Auragrid AI's cumulative, aggregate liability to you or any third party exceed the amounts received by Auragrid AI from you during the 12-month period immediately prior to the incident giving rise to such liability.

A. Informal Resolution

The parties agree to negotiate in good faith to informally resolve any dispute arising from or related to this Agreement before pursuing formal proceedings. If the dispute is not resolved within 60 days of written notice, either party may pursue formal resolution.

B. Governing Law

This Agreement will be governed and construed in accordance with the applicable laws of the jurisdiction in which Auragrid AI operates, without giving effect to conflict of laws principles.

C. Timing of Claims

Any claim, dispute, or controversy arising out of or related to this Agreement must be commenced within 90 days after such claim or cause of action arose, or be forever barred.

A. Entire Agreement

These Terms & Conditions set forth the entire agreement of the parties and supersede any and all prior oral or written agreements relating to the subject matter hereof. Changes may only be made in writing signed by both parties.

B. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force without being impaired or invalidated.

C. Assignment

You may not assign this Agreement without the prior written consent of Auragrid AI. Auragrid AI may assign this Agreement by providing written notice to you.

D. SMS Communications

In the event that you voluntarily provide your mobile phone number, you are consenting to receive automated and/or manual text messages from Auragrid AI about appointments, services, and relevant updates. You can withdraw your consent by responding with "STOP" at any time. Standard message and data rates may apply.

E. Chargebacks

You specifically agree that you will not cause or initiate a chargeback of fees charged by Auragrid AI in accordance with the services provided. In the event that you cause or initiate a chargeback, you agree that you will be liable for all costs and fees incurred by Auragrid AI as a result.

F. User Conduct

Users agree not to post or submit content that is false, deceptive, or misleading; infringes any third party's intellectual property rights; is defamatory, abusive, or hateful; violates any law or regulation; or contains false information that could damage the reputation of Auragrid AI or any individual. We reserve the right to remove any content that violates these Terms & Conditions.

G. Independent Contractors

The parties to this Agreement are independent contractors. No agency, partnership, joint venture, or employer-employee relationship is intended or created by this Agreement.

H. Changes to Terms

Auragrid AI reserves the right to amend these Terms & Conditions at any time. Continued use of our services after receiving notice of any changes constitutes your acceptance of such changes.
